THIS ASSIGNMENT is made the 28th day of March 1991
B E T W E E N GEORGE ALBERT AUGER ("the Trustee") of 8 Baker
Street London W1M 1DA as Trustee in Bankruptcy of EDWARD
ALEXANDER CROWLEY otherwise known as and herein called ALEISTER
CROWLEY of the first part ORDO TEMPLI ORIENTIS a California
not-for-profit Corporation of P.O. Box 430 Fairfax CA94978 U.S.A
("the Order") of the second part and HUGO CLIVE HARPER of 7
Malmouth Well Road High Wycombe Buckinghamshire ("Mr. Harper")
of the third part
W H E R E A S :-
(1) Aleister Crowley died on the 1st December 1947 having during
his lifetime written many literary works ("the Works")
(2) On the 1st February 1935 a Receiving Order in Bankruptcy was
made against Aleister Crowley and he was an undischarged bankrupt
at the date of his death
(3) The Trustee is the Trustee in Bankruptcy of the late Aleister
Crowley
(4) It is probable that some or all of the copyrights in the works
are vested in the Trustee
(5) The Order wishes to acquire from the Trustee such rights and
interest to the copyrights in the Works as the Trustee may have and
the Trustee has agreed to assign such rights and interest (if any)
to the Order in consideration of the sum of £3,000 and on receipt
of the indemnity on the part of Mr. Harper hereinafter given.
W I T N E S S E T H as follows: -
1. In consideration of the sum of £3,000 paid by the Order to the
Trustee (the receipt whereof the Trustee hereby acknowledges) the
Trustee assigns to the Order all such rights of copyright and interest
therein (if any) as the Trustee may have including all accrued rights
of action (if any) to protect the said rights (if any) as the Trustee
may have and all other rights of whatever nature in the Works as
the Trustee may have to hold to the Order absolutely throughout the
world for the residue of the respective terms of such copyrights (if
any)
2. The Trustee gives no warranty whatsoever in relation to the
copyrights (if any) hereby assigned save that neither he nor his
predecessors as Trustees following the Receiving Order on the 1st
February 1935 have previously assigned or otherwise dealt with the
said rights (if any)
3. In consideration of the Assignment in Clause 1 hereof the Order
and Mr. Harper hereby jointly and severally covenant with the Trustee
that they will keep the Trustee fully indemnified against all losses
actions claims proceedings costs and damages arising out of any claim
made against the Trustee by any person other than the parties to
this Agreement that the Trustee had no right to assign all or any
of the copyrights in the Works which belongs to the person making
such claim and that such person has thereby suffered damage or has
a claim in damages such indemnity without prejudice to the generality
of the foregoing to include any damages or compensation paid by the
Trustee on the advice of its Legal Advisers and after consultation
with the Order Mr. Harper and/or their respective Legal Advisers
to compromise or settle any such claim and all legal costs or other
expenses arising thereout
4. It is hereby agreed between the parties hereto as follows: -
(a) That in the event of it being proved that the Trustee has no
title or interest in the Works or any of them then the Order
shall not be entitled to any repayment either in whole or in
part of the said consideration whatsoever or any recourse
whatsoever against the Trustee;
(b) That the terms hereof shall not be disclosed by the Order to
any person other than the professional advisers of the Order
or for the purpose of proving title to the Works without the
prior written consent of the Trustee
5. It is hereby certified that the transaction hereby effected does
not form part of a larger transaction or of a series of transaction
in respect of which the amount or value or aggregate amout or value
exceeds £30,000
I N W I T N E S S whereof the Trustee and Mr. Harper have
have signed this instrument as their Deed and William Garry Breeze
a person duly authorised to sign for an on behalf of the Order has
signed this instrument as his Deed on behalf of the Order the day
and year first before written
